For some reason, in my newly created Sharepoint Site (intranet).. I
cant edit the pages using sharepoint designer.. Edit is greyed out..
on our old site.. the edit button wasnt greyed out.

Any ideas why this is.. and if it has to be this way (on some pages)..
how can i make the top part of every page have our company logo and
color (logo on left with color bar going across the page (banner)).

Thanks

Add your logo there for your site collection

Or you can apply a CSS to the master page
Site Settings > Site Master Page Settings

For skinning you can use the built in themes:
/_layouts/themeweb.aspx

Ah i see.. one question though.. I dont see this subfolder _layouts..
in the actual folder on the server.. or do i just add the jpg to the
content via the sharepoint web interface.

You can add the .jpg via the U.I; that's the easiest way to do it.

Or you can manually embed it into the master page, that's how we are
doing it now but either way works.

use caution if you edit the master page
